Terms of Service

Effective Date: April 6, 2026

These Terms of Service constitute a legally binding agreement between you and Netxafe governing your use of our website and all cybersecurity services we provide. By engaging our services or accessing our website, you agree to be bound by these Terms.

1. Services

Netxafe provides Netxafe Scan (external exposure assessment), Netxafe Audit (comprehensive security audit), and Netxafe Guard (ongoing monthly compliance monitoring). Specific scope, deliverables, timelines, and fees are set out in a separate service agreement or invoice issued prior to commencement of work.

2. Client Obligations

By engaging our services, you represent and warrant that you are an authorised representative of the organisation whose domain and data you have submitted for scanning; you have obtained all necessary authorisations; all information you provide is accurate; and you will use our reports solely for internal security improvement purposes.

3. Payment Terms

  • Scan report fees are due prior to delivery of the full report
  • Audit engagements require a 50% deposit prior to commencement, balance due on delivery
  • Retainer fees are invoiced monthly in advance and due within 14 days
  • All fees are in Canadian dollars (CAD) and exclusive of applicable taxes
  • Overdue amounts accrue interest at 1.5% per month

4. Scope Limitations

Netxafe Scan reports assess only external-facing, publicly detectable exposures and do not constitute a comprehensive penetration test. Our services do not include active exploitation of vulnerabilities, social engineering, physical security assessment, or internal network penetration testing unless explicitly contracted as part of a Netxafe Audit engagement.

5. Limitation of Liability

Netxafe’s total liability for any claim shall not exceed the fees paid by you in the three months preceding the claim. We shall not be liable for indirect, incidental, or consequential damages. We make no warranty that our services will identify all vulnerabilities or prevent all breaches.

6. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any dispute shall be resolved in the courts of Ontario. You irrevocably consent to the exclusive jurisdiction of such courts.
